Transactional Attorney - Nonprofit and Tax Exempt Organizations

We are seeking licensed Nonprofit Attorneys to join our team and serve our diverse client base. The role involves a variety of responsibilities, including counseling public charities and private foundations in the capacity of outside general counsel on various legal and tax matters.
Necessary Qualifications for the Position:
The firm is looking to hire two candidates: (1) Junior Associate Attorney and (2) Senior Attorney. The ideal applicant for the Junior Associate role has at least 3-5 years of experience in transactional law, with a focus on nonprofit and tax-exempt organizations. The ideal applicant for the senior associate role has at least 5-7 years of experience in transactional law, with a focus on nonprofit and tax-exempt organizations.
Other qualifications and expertise for this role include:
- Juris Doctor (J.D.) degree from an accredited law school
- Admission to the state bar in good standing (specify jurisdiction if required)
- Proven ability to provide strategic legal advice to nonprofit organizations and their boards
- Excellent written and verbal communication skills, with the ability to explain complex legal concepts to clients.
- Strong problem-solving skills and a proactive, client-focused approach.
- Ability to manage multiple clients and projects simultaneously with a high level of attention to detail.
- Familiarity with billing software, with the ability to achieve monthly billable requirements
- Familiarity with legal and tax research software
This role involves prior experience providing legal counsel in the following areas:
- Nonprofit formation, tax-exemption application process (IRS Form 1023 and 1024), nonprofit dissolution, ongoing compliance requirements, and other nonprofit regulatory issues
- Familiarity with federal tax forms and reporting obligations applicable to nonprofit and tax-exempt organizations, including IRS Form 990 and IRS Form 990-T
- Unrelated business income and excise taxes applicable to public charities and private foundations
- Drafting and negotiating contracts, agreements, and other legal documents
- Charitable solicitation laws, fundraising regulations, multi-jurisdictional operations, audit requirements, raffles, and other nonprofit-specific legal issues
- domestic and international grantmaking activities and regulations relevant to grantmaking activities
- Fiduciary duties and best governance practices
- Advising nonprofit Board of Directors on nonprofit governance policies and best practices
- Regulations and reporting obligations related to nonprofit and tax-exempt organizations engaging in lobbying and political activities
About the Salary:
The firm is looking to hire two positions, including a junior associate and a senior attorney position. Salary will range between $95,000 - $165,000 commensurate with experience, with opportunities for bonuses.
