A Nationally recognized law firm is eager to find a top Corporate Legal Assistant to join their team. Are you looking to be more of a "voice" within your position? This newly established Corporate Team is growing and looking for an experienced Corporate Legal Assistant to pave the way to success.
This role is designed for a dedicated individual who thrives in a fast-paced environment and possesses a strong ability to support a team of corporate attorneys with everything from document production, working directly with private equity clients, assisting with the establishment of their practices and projects The position is based in an esteemed office, offering an exciting opportunity to work alongside top professionals in the industry.
Responsibilities
- Prepare, revise, redline and proofread various corporate documents including contracts, agreements, transactional matters, compliance, closing documents, audit letters, etc.
- Work closely with private equity clients as an extension of the practice group.
- Working knowledge of assisting with M&A, transactional and private equity legal documents.
- Schedule appointments including meeting invites, video conference details, conference room requests, meal requests etc. and maintains attorney's calendar.
- Create and maintain client and administrative files in accordance with firm procedures, including within the document management system.
- Assist with assembly of pre-closing documents and sets of executed documents for various signatures, and amendments.
- Proactive utilization of workflow management system to manage assignments from timekeepers, maintain an organized workload.
- Enter and release attorney's billable time in accordance with firm guidelines.
- Perform initial conflict checks and open/close client matters and prepare engagement letters.
- Monitor case deadlines and work with Docket Department to ensure deadlines are entered and met.
- Coordinate travel arrangements and track travel expenses for timely reimbursement.
May require overtime hours.
Perform additional office support duties as assigned/requested.
Qualifications
The Corporate Legal Assistant must have at least 3+ years of corporate experience in a law firm setting, preferably with some private equity experience in addition. Must be able to handle multiple priorities at one time, work well with others, and have excellent communication skills. Comprehensive knowledge in Microsoft Office (Excel, Outlook, PowerPoint, Word) and PDF software is required. Experience with InTapp Time, Intapp Open, Chrome River Expense Reporting, Aderant, Interaction, iManage are pluses. Must possess an excellent customer service attitude.
Required Work Hours
Monday to Friday, hybrid capabilities, first shift.

Corporate Document Preparation & Filing
Prepare, file, and manage corporate documents, such as articles of incorporation, partnership agreements, corporate bylaws, and shareholder meeting minutes.
Corporate Compliance & Regulatory Filings
Assist with the company's compliance efforts, preparing and filing documents with regulatory bodies such as the SEC or state agencies.
Corporate Governance Support
Assist in organizing board meetings, preparing agendas, minutes, and resolutions, and ensuring proper corporate governance practices.
Mergers & Acquisitions Support
Provide support for mergers, acquisitions, joint ventures, and corporate reorganizations, including due diligence and documentation.
