The Senior Counsel will be solutions-oriented and have a strong understanding securities laws while structuring and advising on transactions for the Global Equities and Global IB businesses.

Description
The Senior Legal Counsel will be a key member of the investment bank's legal team with a focus on equity derivatives, margin loans and structured notes, with room to expand into other areas.
Main Responsibilities:
- Provide legal advice to business leaders within US Global Equities and Global Investment Banking, focused on the structuring of transactions, securities laws and regulatory framework.
- Provide legal support to the structured notes program, advising on all new products, marketing materials, distribution channels, etc.
- Provide legal advice to the equities business on issuer call spreads, ASRs, ATM Forwards, 10b5-1/10b-18 plans, structured margin loans.
- Provide legal advice to derivatives and trading businesses on OTC equity derivatives transactions.
- Draft, review and negotiate all agreements, including: OTC equity derivative confirmations, distribution and marketing agreements for structured notes, listed options execution agreements, etc.
- Advise the business on securities law regulatory matters ('33 Act, '34 Act) as they relate to the structuring of transactions.
Profile
- JD from US ABA accredited law school
- 4+ years of experience ideally gained in-house supporting the equity derivatives desk of an investment bank, with prior experience at an AmLaw 100 firm highly preferred
- US State Bar Admission
- Must be solutions oriented with a securities law mindset when it comes to advising on the structuring of transactions
- Experience drafting, negotiating and advising on a wide range of equity derivatives and structured notes documentation
- Experience with and deep understanding of securities laws ('33 Act, '34 Act) in relation to equity derivatives
- Experience advising on margin loans and structured notes transactions
- Strong understanding of ISDA framework
- Excellent drafting and negotiating skills
- Ability to simplify legal advice for multiple stakeholders within a fast paced business
