Job Title: Corporate Paralegal
FLSA Classification: Salaried; Non-exempt

Salary: $70,000.00 - $78,000.00 (commensurate with experience)
Reports to: Supervising Attorneys

Summary: LHH Talent Solutions has an immediate opening for a full-time position based in downtown Orlando for an experienced Corporate Paralegal with a minimum of seven (7) years recent experience in a law firm or corporate legal department. The supervising attorneys handle corporate matters to include all aspects of various size businesses. LHH Talent Solutions represents a number of different industries including real estate, banking, manufacturing, technology, retail, tourism, healthcare, and others. Salary commensurate with experience.

Duties and Responsibilities:
- Assist with entity formations (both business and not-for-profit corporations) in any state, corporate governance, and maintenance of corporate records.
- Qualify entities to do business in other states, and order certificates and lien/judgment searches in a timely fashion for closings.
- Prepare and file corporate documents, including partnership agreements, operating agreements, and corporate bylaws.
- Prepare and file annual reports for firm clients in Florida and other states.
- Experience with business sales and acquisitions, asset purchases, stock transactions and related agreements.
- Conduct UCC searches and filings.
- Assist with securities compliance, including drafting and filing Form Ds with the SEC and state Blue Sky.
- Assist lawyers with the corporate documentation for mergers and acquisitions, real estate, and securities transactions.
- Manage intellectual property filings, including trademark and copyrights.
- Assist lawyers in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies.
- Coordinating closing checklists, signature pages, and closing binders.
- Liaise with state and federal agencies regarding corporate filings and compliance.
- Perform legal research and prepare summaries, as needed.

Other Skills and Abilities:
- Strong knowledge of corporate governance, M&A transactions, securities regulations, and intellectual property matters.
- Proficiency in preparing and filing corporate documents and managing closing processes.
- Experience conducting legal research and working with UCC filings.
- Strong organizational skills, attention to detail, and ability to manage multiple deadlines.
- Excellent written and verbal communication skills.
- Strong and thorough communication skills; an ability to collaborate effectively with clients, attorneys, and staff.
- Outstanding work ethic and ability to meet deadlines; agile, flexible (willing to work nights and/or weekends occasionally), and highly trainable.
- Experience using Lexis Nexis for legal research, ATO and iManage for practice management, proficiency with Outlook, Excel, Word and Adobe.
- Ability to work with multiple attorneys and prioritize workload, including workload for a dedicated client.
- Ability to work independently, self-motivated, and strong attention to detail.
Education and Experience:
- A minimum of seven (7) years of applicable industry experience (Required).
- Bachelor s degree or a paralegal certificate or equivalent (Preferred).
Physical Requirements:
- Prolonged periods sitting at a desk and working on a computer.
- Must be able to lift up to 15 pounds at times.
Work Environment:
- Onboarding and training occur on-site. Requests for hybrid work schedules may be considered after a successful onboarding period of no less than 90 days. Position is anticipated to dedicate 60% time to a single client and will be permitted and expected to work in that client s office as required by the client.
