About the Opportunity: Our client is a boutique legal practice specializing in trust and estate matters alongside business law transactions. They focus on serving clients in Northern Virginia, with particular expertise in residential and commercial real estate, tax law, and estate planning. The Paralegal role offers a unique opportunity to join a collaborative legal team and take on a key position supporting trust and estate administration as well as corporate transactions.

Key Responsibilities:

Trust & Estate Administration:

  • Draft wills, trusts, powers of attorney, and other estate planning documents.
  • Manage probate processes, including court filings and communications with executors and beneficiaries.
  • Organize and maintain trust and estate files while ensuring compliance with legal requirements.

Corporate/Business Transactions:

  • Assist in business formation tasks, including preparing and filing organization documents.
  • Draft contracts and transactional documents for business sales or mergers.
  • Coordinate due diligence and manage the closing process for business transactions.
  • Prepare board of directors and shareholder resolutions while maintaining corporate minute books.
  • Ensure compliance with corporate governance requirements through accurate filings.

General Legal & Administrative Tasks:

  • Proofread and edit legal documents, correspondence, and reports.
  • Organize client materials and manage legal filings.

Candidate Requirements:

  • Experience: At least 3+ years of experience working at a law firm or in a similar legal environment.
  • Skills: Strong background in corporate transactions, including business formation tasks and filings. Familiarity with trust and estate administration.
  • Expertise: Knowledge in estate planning and corporate law, combined with excellent organizational and communication skills.
