Candidate Profile:
JD from a top-tier law school with a strong academic record(link removed)>
Active Bar Admission in New York, in good standing.
25 years of substantive experience in structured finance, with a focus on collateralized loan obligations (CLOs), securitizations, and warehouse financings(link removed)>
Familiarity with the structuring, negotiation, and execution of sophisticated financing transactions.
Experience representing banks, asset managers, and institutional investors(link removed)>
Strong transactional drafting and organizational skills, with the ability to manage multiple workstreams.
Excellent judgment, attention to detail, and the ability to thrive in a fast-paced, collaborative environment.
Key Responsibilities:
Advise clients on CLO transactions, securitizations, warehouse financings, and related structured credit arrangements(link removed)>
Draft and negotiate transaction documents, including offering materials, indentures, loan agreements, and purchase and sale agreements.
Coordinate and manage deal execution in collaboration with clients, opposing counsel, and internal teams.
Conduct legal research and provide strategic advice regarding regulatory developments and market trends in the structured finance space.
Support senior attorneys and partners on high-value, cross-border, and complex finance matters.

Compensation & Benefits:
