Candidate Profile:
JD from a top-tier law school with a strong academic record(link removed)>
Active Bar Admission in Texas(link removed)>
46 years of substantive experience in fund formation, joint ventures, and investment transactions(link removed)>
Demonstrated experience drafting and negotiating complex limited partnership and limited liability company agreements, including side letters.
Familiarity with structuring joint venture investment deals and advising on SEC investment advisory regulations(link removed)>
Experience representing both sponsors and investors in private fund formation(link removed)>
Private M&A experience is a plus, but not required.
Excellent legal drafting, negotiation, and organizational skills.
Key Responsibilities:
Advise clients on structuring and formation of private investment funds and joint ventures.
Draft, review, and negotiate governing documents such as partnership agreements, LLC operating agreements, and side letters.
Navigate regulatory and compliance issues related to SEC investment advisory rules.
Support private equity and institutional clients throughout the lifecycle of fund and joint venture transactions.
Collaborate with interdisciplinary teams across practice groups and offices.
Conduct legal research and provide strategic advice to clients on transactional structures.
