Real Estate Paralegal or Legal Assistant
Company Overview:
A leading national multifamily real estate investment and development firm based in New York City is seeking a full-time Real Estate Paralegal or Legal Assistant to join their legal department. This role offers an exciting opportunity to support all phases of commercial real estate transactions, from inception to post-closing.
Essential Job Functions:
Transaction Management
- Review term sheets and draft comprehensive closing checklists for large-scale multifamily purchase, sale, and mortgage loan transactions.
- Prepare initial drafts of organizational documents, such as operating agreements and organizational charts.
- Establish legal entities and obtain Employer Identification Numbers.
- Track entity filing deadlines and manage timely payments for various entity types.
Document Preparation & Compliance
- Draft authorizing resolutions and member/manager consents.
- Secure independent directors and springing members in compliance with lender organizational requirements.
- Coordinate deposit account control agreements and cash management agreements with depositary banks.
- Prepare and review initial drafts of closing documents, including schedules, exhibits, and signature pages.
- Obtain subordination agreements from commercial tenants and order zoning reports, title updates, and surveys.
Coordination & Communication
- Manage closing logistics with key stakeholders, including lenders, buyers, sellers, management companies, title companies, surveyors, and lockbox banks.
- Provide title and survey feedback to sellers, title companies, and surveyors.
- Handle filing and organization of transaction documents in Dropbox.
Post-Closing Duties
- Ensure follow-up to secure owner's policies, recorded deeds, mortgage releases, and escrow releases.
- Draft investor subscription agreements and assignments of membership interests.
- Monitor legal invoices and coordinate payments with the accounting team.
Job Requirements:
Experience
- Minimum of 5 years of experience as a paralegal or legal assistant in multifamily real estate.
- Comprehensive knowledge of Fannie Mae and Freddie Mac multifamily loan processing and closings.
Skills & Qualifications
- Notary Public certification is required.
- Proficiency in Microsoft Office Suite and Adobe Acrobat.
- Strong organizational, writing, and analytical skills.
