Job Description

Lead Counsel, SBU & R&D DD&T (Data, digital and technologies) Contracts


OBJECTIVES/PURPOSE

Assist the Head Counsel, Specialty Business Units and R&D Legal Contracts in management of contracting in support of the Specialty Business Units and R&D, with a focus on technology-related contracts.



ACCOUNTABILITIES

  • Mentor, train, manage, and supervise attorneys and legal professionals to provide legal support of contracts for the specialty business units and R&D, with a focus on technology-related contracts.
  • Negotiate, draft and review complex agreements with a focus on technology-related contracts, including, SaaS, software license, software development, and hosting agreements.
  • Oversee the drafting, review and negotiation of a wide variety of contracts supported by the SBU & R&D Legal Contracts team, including services agreements, consulting agreements, software licenses, SaaS agreements, clinical trial-related agreements, confidentiality agreements, sponsorships.
  • Provide legal advice and support on a wide range of general contract-related issues and technology-related matters, including software licensing, intellectual property, data privacy, cybersecurity, and compliance, and assist in developing strategies to mitigate potential legal, financial and reputational risks in potential transactions.
  • Interpret existing contracts and advise on contract interpretation, assisting the business with contractual disputes, as they arise, and working with appropriate Legal colleagues and outside counsel as needed.

  • Liaise and collaborate with senior leaders, and internal stakeholders to expand and deepen understanding of current and planned business activities and business needs in order to best define and execute legal strategies, provide appropriate strategic legal advice and ensure a high level of service related to contracting.

  • Collaborate with colleagues throughout Global Legal, including leading and/or serving on, as well as providing advice to, Virtual Practice Groups, as required.
  • Provide training and support to internal teams on the contract process, legal issues, and best practices.
  • Create and/or supervise the creation and maintenance of appropriate contract templates reflecting current legal and business requirements, for use by SBU & R&D LEGAL and supported business teams.
  • Oversee processes systems and workflow related to contracting and develop and implement strategies, solutions, best practices and preventative practices, and process improvements to ensure the business's compliance with applicable laws and regulations.
  • Support ongoing company-wide contracting initiatives, including policy development, template/process standardization, and adoption of legal and contract-related technologies

  • Stay updated on emerging technology trends, serve as point person from SBU & R&D Legal for the implementation of technology solutions related to contracting, and drive adoption of technology in the legal space
  • Conduct legal research and stay updated on industry trends, regulatory changes, legal developments and emerging technology trends, in order to assess the impact of such trends/developments on corporate initiatives, and assist in the development of actionable, timely responses, and ensure the company's compliance with applicable laws/regulations.

Education, Behavioral Competencies and Skills:

  • Juris Doctor with a minimum 10 years of experience in technology law, working as in-house counsel or in a law firm

  • Experienced manager with strong leadership skills
  • Extensive experience and skill at negotiating, drafting and counseling clients on a broad range of complex transactions, with a focus on SaaS and other technology-related agreements.
  • Excellent analytical, negotiation, and communication skills with the ability to understand complex legal/technical language and contractual provisions and translate such concepts for various audiences.
  • Excellent interpersonal and conflict resolution skills and ability to work successfully as part of a team in a highly collaborative, fast-paced, deadline driven environment.
  • Ability to work well on cross-functional teams.
  • Detail oriented with exceptional organizational and time management skills and the ability to successfully multi-task, prioritize competing projects, adapt to changing priorities, and work independently.
  • Proactive, pragmatic, and customer-service oriented.
  • Experience in interfacing and communicating with external partners, including outside counsel.
  • Strong understanding of legal processes and technology solutions
  • Strong knowledge of applicable laws and regulations including, intellectual property law, data privacy regulations, and evolving data and AI laws.
  • Experience in the pharmaceutical or life sciences industry experience preferred
  • People management experience preferred

U.S. Base Salary Range:

$191,800.00 - $301,400.00

The estimated salary range reflects an anticipated range for this position. The actual base salary offered may depend on a variety of factors, including the qualifications of the individual applicant for the position, years of relevant experience, specific and unique skills, level of education attained, certifications or other professional licenses held, and the location in which the applicant lives and/or from which they will be performing the job.The actual base salary offered will be in accordance with state or local minimum wage requirements for the job location.


U.S. based employees may be eligible for short-term and/or long-termincentives.
