About the Role:
Our client is seeking an experienced Labor & Employment Attorney with a strong background in transactional work. This role will partner with the Corporate and M&A teams to assess and advise on employment-related risks, liabilities, and compliance issues in the context of business deals. The firm's Labor & Employment team plays a critical role in due diligence, risk mitigation, and compliance strategy for mergers, acquisitions, private equity deals, and other corporate transactions.
Responsibilities:
- Provide labor and employment guidance in connection with mergers, acquisitions, joint ventures, divestitures, and similar corporate transactions.
- Conduct and manage labor and employment due diligence, draft due diligence reports
- Advise clients on employment-related deal terms, including transition services, employee transfers, restrictive covenants, and separation obligations.
- Draft and review employment provisions in transaction documents (eg, stock and asset purchase agreements, offer letters, retention and incentive agreements).
Qualifications:
- J.D. from an accredited law school and active bar membership.
- 4+ years of experience in labor and employment law with strong transactional experience.
- Familiarity with deal structures, corporate transactions, and the employment aspects of those transactions.
Role Level:
- Seniority Level: Associate/Senior Associate/Counsel/Staff Attorney.
Compensation:
Compensation is competitive and will be based on experience level.
