A prestigious AmLaw 50 international law firm is seeking a highly qualified Investment Funds Associate Attorney to join its rapidly growing Investment Funds practice in either its Atlanta or New York office. This opportunity offers early responsibility, high-level client exposure, and the chance to work on complex legal matters involving Real Estate Investment Trusts (REITs) and public securities. Key Requirements
JD from a top 30 law school, with strong academic performance (top half of class; no C's in relevant coursework)
3 to 6 years of legal experience, ideally with an AmLaw firm or well-regarded boutique
Bar admission in the jurisdiction of the intended office
Strong background in securities or investment funds law, particularly in relation to equity and mortgage REITs
Solid understanding of public securities law, including the Securities Act of 1933 and Exchange Act of 1934
Excellent legal research, analytical, drafting, and client-facing skills
A stable work history - no job hopping or short tenures Key Responsibilities
Advise clients on the formation, structuring, and compliance requirements of REITs and hybrid investment vehicles
Draft and negotiate offering documents, registration statements, periodic filings, and investor communications
Manage legal issues relating to public offerings, SEC filings, and ongoing regulatory compliance
Collaborate with corporate, real estate, and tax teams to deliver integrated counsel
Support strategic investment fund transactions involving real estate and financial portfolios
