About the Role


We're seeking a highly qualified Associate Attorney with 3-6 years of substantive experience in securities or investment funds law to join our client's nationally recognized Investment Funds group. In this role, you will provide end-to-end counsel on REIT formation, structuring, compliance, and public securities offerings, while collaborating across practices on complex, market-leading transactions.

Candidate Requirements

JD from a Top 30 U.S. law school with a strong academic record (Top 50% of class; no C's in core/relevant courses).

Active Bar Admission in the relevant jurisdiction (NY or GA preferred).

3-6 years of relevant experience in securities, REITs, or investment funds at an AmLaw 100 firm or highly regarded boutique.

Deep experience advising on equity and mortgage REITs, including both publicly traded and non-traded structures.

Familiarity with Securities Act of 1933 and Securities Exchange Act of 1934 compliance and disclosure matters.

Proven ability to draft and negotiate offering documents, registration statements, shareholder communications, and securities filings.

Excellent writing, analytical, and client-service skills.

Stable employment history; candidates with frequent moves or short tenures will not be considered.


Key Responsibilities

  • Advise clients on the formation, structuring, and compliance of REITs and hybrid investment vehicles.
  • Counsel clients on public offerings, periodic reporting, and disclosure obligations under securities laws.
  • Draft and negotiate offering materials, registration statements, and related transactional documents.
  • Collaborate with corporate, tax, and real estate colleagues on cross-practice matters.
  • Support client relationships and contribute to practice growth initiatives.
