Position Title: Commercial Paralegal

Department: Legal

Entity: Canadian Solar US Module Manufacturing Corporation

Reports To: Senior Legal Counsel

Location: Hybrid (Preferred: Mesquite, Texas) / Remote (Indiana/Kentucky)

Position Summary:

We are seeking a dedicated Commercial Paralegal to join our US legal team. In this role, you will provide support to our operations in the solar energy manufacturing sector, ensuring compliance with legal standards and facilitating effective contract management. The ideal candidate will be well-versed in corporate governance, compliance, contract management, and legal administration, while also possessing strong organizational skills to help streamline and optimize the department's operations.


Key Responsibilities:

  • Support the legal team in Mesquite, Texas, Indiana and Kentucky.
  • Use strong organizational skills to maintain contract management order, including follow-up on contractual requirements and regulatory filings.
  • Prepare and file necessary documents for corporate governance, such as board resolutions and intercompany agreements.
  • Review, draft, and negotiate various contracts, including non-disclosure agreements, vendor agreements, and supplier contracts across departments.
  • Assist in implementing policies and carrying out procedures relating to compliance matters, such as ABAC, privacy, Non-Disclosure/Confidentiality Agreements and others.
  • Provide project management oversight for various projects for the legal department.
  • Coordinate the completion of transaction closings, ensuring that all necessary documentation is accurate and compliant.
  • Work closely with internal teams and external legal counsel to ensure compliance with legal and regulatory requirements, fostering effective communication and collaboration.
  • Organize and maintain legal records efficiently, ensuring easy access to documentation for the legal team.
  • Collaborate with legal team to track, manage, and report on key legal department metrics, including matter tracking, budgets, and invoices.
  • Help manage external law firm relationships, including handling billing, and ensuring compliance with budget constraints.
  • Conduct other duties as required.

Requirements:

  • A minimum of 5 years of experience as a corporate paralegal in a law firm or corporate legal department, ideally with in-house experience with a global corporation.
  • Paralegal certification is desirable; a bachelor's degree or equivalent work experience is required
  • Strong understanding of compliance and regulatory frameworks.

  • Able to work well with various divisions, external attorneys, and colleagues at all levels of the organization.
  • Experienced with legal operations functions, such as matter management, contract lifecycle management, legal budgeting, and vendor management.
  • Knowledge of corporate legal matters preferred, including formation, amalgamation, reorganization and winding up of corporations and partnerships.
  • Experience with compliance matters is an asset.
  • Experience with corporate and/or commercial matters in the US is an asset.
  • Advanced computer skills; strong working knowledge of MS PowerPoint, Word, PDF, Excel and SharePoint.
