We are working with an AmLaw200 firm in Phoenix seeking an associate attorney for their real estate and land use practice. Our client combines the resources of a large national practice with the collaborative, personalized approach of a boutique firm to provide comprehensive legal services to a variety of businesses and individuals. The firm is seeking an attorney with 3+ years of experience in a transactional real estate practices. The practice represents REITS, institutional investors and lenders, private equity investors, developers, start-ups, health systems, and many other organizations across industry sectors in sophisticated real estate transactions. Core job responsibilities include:

  • Draft, review, and negotiate purchase and sale agreements, leases, loans, and workout documents across various asset classes
  • Structure and document joint venture agreements between developers and capital partners
  • Coordinate due diligence reviews on complex real estate portfolios
  • Draft and negotiate loan documents for acquisition, construction, and permanent financing
  • Develop and document mezzanine financing arrangements
  • Structure and document UPREIT and DownREIT transactions
  • Assist with land use, zoning, and development conflicts
  • Implement tax-efficient real estate investment structures
  • Create and review easement agreements, declarations, and restrictive covenants
  • Manage post-closing integration and ongoing compliance matters
