THE ROLE:
DIRECTOR OF BUSINESS DEVELOPMENT, M&A
You're the tip of the spear for Ugentic's acquisition strategy.
Your job is to hunt, qualify, and negotiate deals with founder-led AI and service businesses across the U.S. and globally. You'll own everything from pipeline generation to signed LOI, then pass the baton to our internal execution team to close and integrate.
You need to live and breathe M&A. You should be comfortable doing 10 to 20 founder calls a week, crafting win-win deal structures, and pushing deals through ambiguity and egos. Given our plans to possibly go public as early as 18-24 months from now, we need to be aggressive in our acquisitions and investments to accrue the ARR needed.
This is not a sourcing analyst role - it's high-leverage origination plus high-trust negotiation.
KEY RESPONSIBILITIES:
Deal Origination:
- Proactively source acquisition targets across agentic AI, digital services, SaaS, and niche verticals.
- Build and manage a robust outbound pipeline using founders, brokers, newsletters, and warm channels.
- Represent Ugentic AI on intro calls, build trust with founders, and understand true seller motivations.
Evaluation & Qualification:
- Rapidly assess target viability: market, model, team, margins, scalability.
- Build internal deal briefs for review with CEO and investment committee.
- Coordinate light-touch diligence pre-LOI (financials, cap table, legal red flags).
Negotiation & LOI:
- Lead valuation, structure, and negotiation conversations directly with sellers.
- Craft creative, founder-friendly terms that align with Ugentic's strategic goals.
- Drive deals to LOI stage with speed, clarity, and precision.
Relationship Building:
- Cultivate a network of brokers, deal platforms, bankers, and other intermediaries.
- Build long-term trust with target company founders - even if the deal happens a year later.

- Deal Hunter: You've originated and negotiated 5+ deals, ideally in a PE, search fund, investment banking, or corporate M&A context.
- Founder Fluent: You can speak to bootstrapped operators as easily as Ivy MBAs. You know how to earn trust.
- Structuring Savvy: You understand term sheets, valuation mechanics, rollovers, earnouts, and the art of a win-win LOI.
- Closer's Mindset: You move fast, eliminate friction, and know when to push, when to wait, and when to walk.
- Independent Executor: You don't need babysitting or a bloated team. You can hunt, close, and drive your own pipeline.
- Strategic Thinker: You're not just looking for "deals." You're looking for strategic fits that multiply value post-close.

- Have sourced and closed deals in the $500K-$10M range (lower-middle market).
- Come from a PE fund, investment bank, venture studio, or roll-up company.
