Our client, a highly regarded law firm, is seeking a talented mid-level Associate Attorney to join their thriving Corporate Transactions Practice Group in Atlanta , Miami , or Los Angeles (link removed) This role offers the chance to handle complex corporate matters, including mergers and acquisitions, venture financing, and intellectual property transactions, while collaborating with a team of experienced professionals.

Candidate Profile:

•   JD with strong academic credentials ( top 20% of your class , law review , and/or moot court ).

•   Active Bar Admission in the relevant jurisdiction (link removed)>

•   57 years of substantive corporate transactional experience.

•  Significant experience with technology , intellectual property , and commercial transactions (link removed)>

•  Strong drafting and communication skills, with the ability to manage complex agreements.

•  Experience handling M&A transactions , venture financing , corporate governance matters , and various commercial contracts (link removed)>

•  Comfortable mentoring and overseeing junior associates.

•  A proactive, team-oriented mindset with a commitment to excellence in client service.

Key Responsibilities:

•  Handle a broad range of corporate transactional matters, including M&A, venture financing, and strategic partnerships.

•  Draft and negotiate commercial contracts, including licensing and development agreements, service provider agreements, supply chain and outsourcing agreements, media-related agreements, and professional services agreements (link removed)>

•  Provide strategic counsel on corporate governance and compliance matters.

•  Work closely with clients across various industries to develop innovative legal solutions.

•  Oversee junior associates and contribute to a collaborative, high-performing legal team.
