Our client, a leading financial institution, is seeking a highly skilled and detail-oriented Corporate Transactional Paralegal to join their legal department. This role will support corporate governance, board and investor relations, and a variety of transactional matters across the bank's operations. The ideal candidate has a strong background in corporate law, excellent organizational skills, and experience navigating regulatory requirements in the financial services industry.

Key Responsibilities:

  • Support in the preparation and maintenance of corporate governance documents, including board resolutions, meeting minutes, and annual consents
  • Serve as a liaison between the legal department and the Board of Directors and its committees, helping to coordinate meetings, schedules, and materials
  • Manage and organize corporate records and maintain the legal entity database, including state filings, annual reports, and entity formation documents
  • Assist with investor relations by preparing and organizing reports, communications, and disclosure documents
  • Review, draft, and manage a variety of legal agreements, including NDAs, vendor contracts, and service agreements
  • Support regulatory compliance initiatives and assist with filings, audits, and responses to regulatory inquiries
  • Collaborate with internal departments (finance, compliance, investor relations, etc.) to ensure alignment on corporate initiatives
  • Assist attorneys with transactional work, including M&A, joint ventures, and capital markets activity
  • Perform legal research and support due diligence for corporate transactions

Qualifications:

  • 5+ years of experience as a corporate or transactional paralegal, ideally within the banking or financial services sector
  • Paralegal certificate or bachelor's degree required; advanced degree or JD (non-practicing) is a plus
  • Experience with board support and corporate governance for a regulated institution
  • Familiarity with securities law filings, public company compliance, and investor relations documentation
  • Strong organizational, research, and project management skills
  • Proficient in Microsoft Office Suite; experience with legal entity management software (eg, Diligent Entities, GEMS) preferred
  • High degree of professionalism, confidentiality, and attention to detail
