Job Description:
The paralegal will perform support functions in all aspects of the daily operations of the Legal and Compliance department by reviewing, gathering, organizing and processing a variety of corporate documents and supporting the overall operations of the Legal Department. The right candidate will have excellent judgement, communication and organizational skills as well as a proven track record of progressively responsible experience in dynamic in-house legal departments.
Essential Duties and Responsibilities:
- Support corporate governance for global entities including entity management, filings and record keeping.
- Support the Chief Legal Officer and Secretary in Board secretary duties including drafting agendas, collecting signatures, maintaining and filing resolutions.
- Maintain the intellectual property portfolio, including performance of initial trademark searches and collection of specimens required for renewals.
- Provide contract support for standard corporate agreements, such as non-disclosure, sales, logistics and independent contractor agreements including initial drafting, review of revisions and filing of signed agreements under supervision of the Chief Legal Officer and Secretary.
- Support the Company's compliance efforts, including assisting with coordinating global compliance training; disseminating compliance materials; and supporting Company audits.
- Provide support for documents and activities related to corporate restructurings, such as mergers, formations, and dissolutions.
- Draft Powers of Attorney and lead activities required to apostille, legalize and consularize documents required by global affiliates, agencies and lenders.
- Work with other members of the executive team on special projects and initiatives Perform other duties and responsibilities as assigned.
