San Francisco, CA (Hybrid) Corporate Paralegal - Emerging Companies / Venture Capital
We're working with a highly respected law firm client that is seeking an experienced Corporate Paralegal to join its Emerging Companies & Venture Capital (ECVC) group. This 3/2 hybrid role offers the opportunity to support attorneys representing startups, VC/PE investors, and high-growth companies across a wide range of corporate transactions.
Key Responsibilities:
- Manage company formations, maintain cap tables, stock ledgers, and corporate records
- Support equity financings (including SAFEs), M&A transactions, and strategic deals
- Draft closing checklists, ancillary documents, resolutions, and signature packets
- Handle due diligence processes and maintain electronic document repositories
- Coordinate UCC filings, lien searches, charter documents, and closing logistics
- Use tools like Carta, DocuSign, and virtual data rooms for transaction support
- Compile and distribute post-closing document sets
What You Bring:
- 7+ years of experience as a corporate paralegal in emerging companies, VC/PE, and M&A
- Bachelor's degree and paralegal certification (or equivalent under CA law)
- Advanced proficiency in Carta and cap table management
- Strong knowledge of Delaware corporate law and securities filings
- Excellent attention to detail, communication skills, and ability to manage multiple priorities
- Proficiency in Microsoft Office, Google Docs, Dropbox, and DocuSign

Salary: $120,000 - $170,000/year DOE
