Position
Based in San Francisco, we are seeking an organized, detail-oriented, and experienced paralegal to play an important role on our legal team. This individual will assist us with various aspects of legal and compliance matters for existing and new real estate investment funds. As part of a fast-growing group of companies, the candidate must be flexible, proactive, and willing to support a variety of tasks, challenges and opportunities, as they arise.
The Paralegal will report to the Associate Counsel.
Responsibilities
- Draft, file and maintain various corporate and compliance documents.
- Track compliance items (e.g., secretary of state documents, business registrations, USCIS/SEC/FINRA/CA DFPI related filings, etc.).
- Assist Associate Counsel with applying for and maintaining various licenses.
- Assist the accounting team with various legal documents requests related to escrow, fund and management bank accounts and investor repayments, withdrawal, denial letters and investor onboarding/offboarding documents.
- Prepare and assist with various legal documents related to the management of real estate funds and their assets (primarily loans).
- Assist with drafting contracts including but not limited to NDAs, referral agreements, service agreements, third-party marketing agreements, broker/dealer contracts, private offering documentation, and maintain records of their executed versions.
- Assist the IR and accounting teams with various legal documents related to investors' offering documentation including investor side letters, loan agreements, fund release, disbursement documents, etc
- Assist with site visits, reviews, and/or audits by federal, state, and private agencies and organizations.
- Assist with ensuring fund management and operations' adherence to constantly changing immigration, securities, and other regulatory guidance.
- Review the website and various marketing-related collateral for accuracy and compliance
- Work cross-functionally with accounting, business development, and investor relations teams to coordinate, assist, and ensure critical tasks are completed in a timely manner.
- Perform other related duties and special projects as required.
- As needed, draft and/or review communications to investors including investor responses, reports and statements, updates, notifications, etc.
Qualifications
- Bachelor's or relevant 2-year college degree.
- Paralegal certificate from an ABA accredited program is preferred, or a combination of education and/or experience
- 3+ years of relevant legal and/or compliance-related professional experience in a reputable law firm or investment, real estate, private equity, or financial organization
- Experience with EB-5 and Immigration matters is ideal but not required
- Native or Professional level English speaker (familiarity with legal terminology is a must)
- Proficiency with MS Office Suite, particularly Word, Excel, and PowerPoint
- Ability to undertake, manage and complete multiple projects
- Outstanding oral and written communication skills
- Excellent organizational and time-management skills
- Demonstrated output of high-quality deliverables with high attention to detail and organization
- Ability to grasp and utilize new business and legal concepts quickly
- Intellectual curiosity in being involved in multiple areas of the business
Salary Range: $130,000 to $155,000 DOE
