Are you a corporate paralegal who is looking to make a move to a medium sized law firm with offifces across the United States? If so, we are working with such a law firm. This firm is looking for a Corporate Paralegal as they're growing. This person will have experience supporting attorneys across M&A, corporate transactiona, corporate governance and real estate.
Job Description/Key Duties:
- Work with attorneys whose practices focus on corporate transactions, M&A, securities filings, and private equity matters
- Draft, edit, finalize and manage a variety of legal documents
- Form, register, maintain, and dissolve corporations, LLCs, and other entities-including confirming name availability, obtaining EINs, filing required documents, paying taxes/fees, and maintaining minute books.
- Complex legal research and due diligence
- Manage all aspects of closings in M&A, real estate, financing, and other transactions-including coordinating document execution, assisting with escrow or wire logistics, finalizing signature packets, and preparing post-closing binders and filings.
- Handle UCC filings/searches
- Coordinate with clients and attorneys to maintain corporate records and minute books; serve as a liaison on ongoing entity maintenance.
- Manage business entity filings (formations, amendments, mergers, dissolutions) and obtain certified copies, good standings, and name reservations from state agencies.
- Support real estate transactions, including title and survey review, coordination with title/escrow agents, and document preparation for acquisitions, dispositions, and leases.
Requirements:
- At least 5 years of experience as a Paralegal who has supported attorneys across corporate, M&A, Private Equity, Governance and Real Estate
- Bachelor's Degree
- Paralegal certificate - a plus
- Hybrid schedule
- Proficient with MS Office and other technologies that may be utilized
