Job Details

This is an in-office position

The Corporate Paralegal will provide comprehensive transactional and administrative support to our Legal Department. This position is responsible for preparing legal documentation, managing entity records, conducting research, coordinating compliance filings, and assisting with corporate governance matters. The role requires sound judgment in managing priorities, effective communication with internal and external stakeholders, and the ability to independently drive tasks to completion under the direction of attorneys.

Key Responsibilities
  • Provide day-to-day administrative and paralegal support to attorneys and legal team members.
  • Draft, maintain, and file entity formation documents, operating agreements, resolutions, consents, certificates, and meeting minutes.
  • Ensure timely renewals, foreign qualifications, and registrations in compliance with applicable laws and company policies.
  • Support a range of corporate legal matters, including capital transactions, regulatory filings, securities issuances, and financial compliance.
  • Assist with shareholder coordination and compliance efforts.
  • Prepare and submit periodic compliance reports to lenders.
  • Support our Board of Directors and Committees by managing agendas, resolutions, meeting minutes, and board materials.
  • Create and edit professional PowerPoint presentations for internal and external use.
  • Submit attorney and department expense reports.
  • Serve as liaison between the Legal team and external counsel, vendors, and other business partners.
  • Handle special projects and provide additional legal support as assigned.

Qualifications & Requirements
  • Education & Certification
  • An associate's degree or higher preferred
  • Paralegal certification strongly preferred

Experience
  • Minimum 5 years of relevant experience in a corporate legal department or law firm
  • Prior experience supporting general counsel and boards of directors is a plus

  • Ability to operate with discretion, sound judgment, and professionalism in a fast-paced environment
  • Strong organizational and time management skills with proven ability to manage multiple priorities
  • Excellent written and verbal communication skills
  • High attention to detail and accuracy
  • Proactive, self-motivated, and capable of working independently
  • Strong interpersonal skills and customer service orientation
  • Advanced knowledge of legal documents and corporate compliance standards

Technical Proficiency
  • Proficient in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook), Microsoft Teams
  • Experience with Salesforce, Adobe Acrobat, DocuSign, and legal contract/file management tools

Additional Information
