ABOUT THE POSITION
The Corporate/Transactional Paralegal to support our attorneys in mergers and acquisitions (M&A), corporate governance, and general transactional matters. This role requires keen attention to detail, strong organizational skills, and the ability to manage multiple projects in a fast-paced legal environment.
Key Responsibilities
- Assist with M&A transactions, including drafting and reviewing purchase and sale agreements, stock transfers, and other related documentation.
- Conduct due diligence by gathering, reviewing, and organizing corporate records, contracts, and financial documents.
- Create and maintain virtual data rooms for M&A and transactional matters.
- Prepare and file corporate governance documents, such as board resolutions, consents, and organizational records.
- Support notarization and authentication of corporate and transactional documents.
- Assist with entity formations, dissolutions, and corporate registrations.
- Manage and track closing checklists, deadlines, and post-closing obligations.
- Coordinate filings with state agencies, including Secretary of State offices and regulatory bodies.
- Collaborate with attorneys and clients to ensure a seamless transaction process.

Requirements
WHO WOULD DO WELL IN THIS POSITION?
Knowledge & Skills
- Minimum of 4 years of experience as a corporate/transactional paralegal, preferably in a law firm setting.
- Strong knowledge of M&A transactions, corporate governance, and business entity formations.
- Experience with due diligence review and data room management.
- Notary Public certification (or willingness to obtain) preferred.
- Proficiency in Microsoft Office, document management software, and legal research tools.
- Exceptional organizational skills and the ability to manage multiple priorities.
- Excellent attention to detail and a proactive approach to problem-solving.
