Summary

Medium sized law firm seeks a Corporate Paralegal in Irvine, CA. Excellent organization and communication skills, as well as a strong work ethic, are critical for success in this position.


Job Responsibilities

Essential duties of this role include the following:


Entity Formation

- Check availability and reserve entity name.

- Draft and file articles of incorporation/organization.

- Draft organizational documents, including bylaws; notices and minutes, or consent, of organizational meeting; subscription agreements; stock certificates; and banking resolutions.

- Draft and file various federal and state forms, including: Election by Small Business Corporation; Application for Employer Identification Number; and appropriate licenses to operate specific businesses.

- Submit application to the proper licensing body when forming professional or special purpose corporation.


Entity Maintenance

- Assist in drafting minutes, consents and resolutions for board and shareholder meetings.

- Ensure all entity information is maintained and updated including officer and director information.

- Manage corporate records, including board/shareholder minute books.

- Prepare and file annual reports with state authorities (e.g., Statement of Information).

- Prepare all documents necessary to qualify business entities in other jurisdictions.

- Coordinate and document stock transfers.


Mergers and Acquisitions:

- Assist with due diligence activities for mergers, acquisitions, and other corporate transactions.

- Collect due diligence documents and organize the electronic data room.

- Prepare and maintain transaction checklist.

- Prepare closing documents under the supervision of attorneys and maintain closing files.


Other

- Assist attorneys in preparing, reviewing, and revising contracts and other agreements.

- Prepare deeds, preliminary change of ownership reports, and other documents ancillary to real property transactions.


Candidate Requirements

Candidates must be able to organize and coordinate multiple projects simultaneously in a sometimes fast-paced law firm environment. At least five years' experience as a paralegal is preferred.


The position requires excellent professional verbal and communication skills.


Candidates must be extremely capable with MS Word, Adobe, and other MS Office applications, including the use of professional plug-ins, templates, redlining tools, and cross-references. The firm also uses ProLaw and Lexis+. If you have specific experience with these resources, please highlight that experience in your application materials.
