A reputed law firm is seeking a Corporate Paralegal to join its growing Corporate/M&A practice in Dallas, TX. This is a great opportunity for a detail-oriented and proactive professional to work alongside top attorneys on complex transactions.
They have a hybrid schedule (3x in office/week).
Responsibilities:
- Support attorneys on M&A deals, entity formation, and corporate governance
- Draft and review key documents (operating agreements, board resolutions, closing binders, etc.)
- Manage compliance filings and corporate records across jurisdictions
- Coordinate transaction closings, signature packets, and post-closing logistics
- Communicate with clients, regulatory agencies, and vendors
- Maintain cap tables, calendars, and file management systems
- Track and log billable time and case expenses
Qualifications
- 3+ years of experience as a corporate paralegal at a law firm
- Strong knowledge of corporate law, entity formation, and compliance
- Experience supporting general corporate transactions - real estate, M&A, IP etc
- Paralegal certificate (preferred); bachelor's degree (preferred)
- Excellent communication, organizational, and tech skills
- Experience with Microsoft Office + legal systems (iManage, Aderant, and Chromeriver)
