Job Description:

Our company, a forward-thinking and collaborative organization, is seeking a Corporate Paralegal/Administrator with at least three years of related experience in corporate governance, corporate transactions and secured lending support. Primary Responsibilities:

  • Maintain and manage corporate governance records, including board meeting minutes, resolutions, and organizational filings.
  • Assist in verifying compliance with applicable governance requirements, including regulatory filings, audits, and reporting obligations.
  • Draft, edit, and revise governance-related documents, agreements, and policies in collaboration with leadership teams.
  • Support corporate transactions, including due diligence review, document preparation, closing support, and post-closing administration.
  • Coordinate the filing of UCC financing statements and manage lien searches to ensure compliance.
  • Manage transactional due diligence efforts, working with both internal teams and external vendors.
  • Serve as a point of contact for external auditors, title companies, and regulatory bodies when governance-related reviews are required.
  • Organize and update governance frameworks, tracking shareholder rights, leadership structures, and other governance metrics for effective oversight.
  • Provide assistance to leadership teams for corporate governance planning and implementation.

Job Qualifications:

  • Bachelor's degree strongly preferred; relevant certifications (e.g., paralegal certificate or governance certifications) are a plus.
  • 3+ years of experience in corporate/transactional or governance-related roles.
  • Strong understanding of corporate governance structures and compliance requirements.
  • Proficiency in drafting board resolutions, policies, and contracts.
  • Familiarity with regulatory filings, audits, and governance reporting frameworks.
  • Strong written and verbal communication skills with a clear ability to engage stakeholders.
  • Detail-oriented with excellent organizational, time-management, and multitasking abilities.
  • Advanced proficiency in Microsoft Office, particularly Word and Excel.
  • Experience with governance tools or platforms like iManage, Worldox, Adobe, or Diligent is advantageous but not required.
  • Positive attitude and eagerness to develop new skills while building professional relationships within and outside the organization.
