The ideal candidate is resourceful, proactive, and highly organized, with significant experience in corporate transactional law, particularly in Mergers & Acquisitions and/or Venture Capital transactions.


This position offers hands-on involvement in sophisticated corporate legal matters, and is ideal for a corporate paralegal ready to take ownership of key processes and contribute meaningfully to client outcomes.


Key Responsibilities, including but not limited to:

  • Manage and update capitalization tables using Carta or similar software.
  • Handle Secretary of State filings and assist in entity formation for corporations, LLCs, and nonprofit entities (including PBCs and 501(c)(3)s).
  • Draft formation documents, coordinate with attorneys using internal checklists, and perform early-stage document reviews for M&A and VC deals.
  • Prepare and maintain corporate records, including board and stockholder consents, resolutions, board minutes, and governance documentation.
  • Assist with equity incentive plans, including Rule 701 and blue-sky compliance.
  • Draft pro formas, liquidation preference waterfalls, and overhang analyses.
  • Support due diligence, KYC, and closing processes, including organizing disclosure schedules and managing escrow arrangements.
  • Prepare and file Form D and Form ID, and research state blue sky law notice requirements.
  • Conduct UCC/lien searches, draft and file UCC-1 financing statements.
  • Contribute to IP protection, recapitalizations, and debt financings.
  • Coordinate with external counsel, clients, and vendors when necessary.

Required Qualifications:

  • Minimum 5 years of corporate transactional experience (preferably M&A or VC-focused).
  • Demonstrated experience with Carta or cap table software, and Secretary of State filings.
  • Familiarity with Form D, Form ID, and compliance with relevant SEC and state filing requirements.
  • Strong drafting skills, attention to detail, and ability to anticipate the needs of attorneys and clients.
  • Comfort with Visio is a plus.
