Position Summary
We are seeking an experienced Corporate Paralegal to join our dynamic team. The ideal candidate will support our attorneys with a broad range of corporate and transactional matters, including entity formation, corporate governance, due diligence, and transactional closings. Key Responsibilities
- Assist with the formation, maintenance, and dissolution of corporations, LLCs, and other business entities in various states
- Prepare and maintain corporate records, including organizational documents, minutes, resolutions, and stock ledgers
- Conduct UCC and other due diligence searches and summarize findings
- Prepare and file documents with the Secretary of State and other government agencies
- Support attorneys in M&A transactions, including preparing signature pages, tracking documents, assisting with closings, and assembling closing binders
- Coordinate with clients, opposing counsel, and third-party service providers as needed
- Conduct legal and factual research as needed
Qualifications
- Minimum of 5 years of corporate paralegal experience in a law firm or in-house legal department
- Bachelor's degree or paralegal certificate from an ABA-approved program preferred
- In-depth knowledge of corporate and LLC structures and compliance
- Experience with entity formation, corporate governance, and business transactions
- Exceptional attention to detail and organizational skills
- Strong written and verbal communication skills
- Proficiency with Microsoft Office Suite and legal research tools
