A growing investment and entertainment company is seeking a highly skilled and detail-oriented Corporate Paralegal to join their legal team and play a key role in supporting corporate governance, transactions, and compliance functions. This position will support both an investment firm and a global content studio, managing critical legal processes that contribute to the company's ongoing success.
Key Responsibilities:
- Maintain and organize corporate records, including entity formations, governance documents, board resolutions, and shareholder agreements.
- Oversee capitalization tables, director and officer records, beneficial ownership filings, and other corporate compliance requirements.
- Coordinate the execution and tracking of key legal documents, ensuring accuracy and compliance with regulatory requirements.
- Support the drafting and negotiation of contracts, including NDAs, consulting agreements, and corporate governance materials.
- Assist with corporate transactions, including due diligence, document management, and closing processes.
- Track and manage legal deadlines, ensuring timely filings and compliance with relevant regulations.
- Serve as a resource for internal teams and portfolio companies on corporate governance and regulatory matters.
- Handle KYC requests and beneficial ownership documentation as needed.
- Collaborate with internal and external legal teams to maintain compliance with company policies and legal obligations.
- Assist with additional legal projects and initiatives as required.
Qualifications & Skills:
- Minimum 6+ years of experience as a corporate paralegal in a law firm or corporate legal department, preferably within investment, media, or content production industries.
- Strong understanding of corporate governance, entity management, and regulatory compliance.
- Excellent attention to detail, organizational skills, and the ability to manage multiple priorities in a fast-paced environment.
- Effective communication skills, with the ability to interact with internal teams and external stakeholders professionally.
- Experience handling corporate transactions, due diligence, and contract preparation.
- Proficiency with legal management tools, databases, and document management systems.
- Bachelor's degree in a related field preferred; paralegal certification is a plus.
Compensation:
$50 - $65/hr. depending on relevant experience.
This role is based in the South Bay, with an expectation of in-office work at least four days per week.
