Are you a detail-oriented corporate paralegal with a passion for tech, innovation, and transactional law? A rapidly growing, forward-thinking technology company headquartered in Miami is seeking a highly organized Corporate Paralegal to join their legal department.
This is an on-site opportunity for a legal professional who thrives in a collaborative, fast-paced, and entrepreneurial culture. You'll support the General Counsel and legal team on a variety of transactional and compliance-related matters while playing a critical role in shaping scalable legal operations.
Responsibilities:
- Draft, review, and redline commercial agreements, including NDAs, MSAs, SOWs, DPAs, and licensing contracts
- Coordinate full contract lifecycle management (CLM) including tracking, execution, and renewal timelines
- Assist with entity management, annual filings, and corporate governance support
- Collaborate cross-functionally with finance, compliance, and product teams to align contracts with business objectives
- Maintain clause libraries, legal templates, and contract management systems
- Support regulatory compliance efforts including HIPAA, GDPR, SOX, and CCPA
Qualifications:
- 5+ years of paralegal experience, ideally in a tech, SaaS, or commercial contracting environment
- Strong understanding of contract structure, risk provisions, and redlining
- Experience supporting compliance and regulatory initiatives
- Proficiency with legal tech tools (e.g., Ironclad, Diligent Entities, Salesforce Legal Hub) is a plus
- Paralegal certificate required; bachelor's degree preferred
- Bilingual in English/Spanish is a plus
