About the Role

A dynamic and innovative law firm with a strong reputation for delivering exceptional legal solutions is seeking an experienced Corporate Attorney - Of Counsel to join our Buffalo office. This position is ideal for a skilled legal professional looking to focus on substantive legal work with reduced administrative duties, such as client development and billable hour requirements.

As an integral member of our corporate practice team, you will work across a broad spectrum of corporate, transactional, and commercial matters, advising clients at every stage of the business lifecycle-from formation to exit strategies.

Key Responsibilities

  • Provide legal counsel on all aspects of corporate and commercial law.
  • Advise clients on corporate governance, entity formation, and compliance issues.
  • Draft, review, and revise a variety of commercial agreements, including shareholder agreements, operating agreements, M&A agreements, and general business contracts.
  • Support mergers and acquisitions, due diligence processes, and negotiation strategies.
  • Collaborate with internal legal teams and practice groups to offer holistic legal solutions to clients.
  • Counsel clients on business planning, regulatory compliance, succession planning, and strategic growth initiatives.

Qualifications

  • Juris Doctor (J.D.) from an accredited law school.
  • Bar admission in New York State and in good standing.
  • Minimum of 5 years of relevant experience in corporate law, including:
  • Business formation and structuring
  • Commercial transactions
  • Mergers and acquisitions
  • General corporate governance and regulatory compliance
  • Strong academic credentials.
  • Excellent written and verbal communication skills.
  • Proven ability to collaborate effectively across practice areas and with clients.
