Job Details
We are seeking a highly skilled and business-savvy Corporate Attorney with 5-7 years of experience to join our legal team. The ideal candidate will bring strong expertise in the negotiation and drafting of complex commercial and financing agreements, mergers and acquisitions, corporate governance, and transaction structuring. The attorney will play a key role in advising on strategic transactions and legal matters that impact the financial and operational goals of the company.
This role also includes estate and succession planning support for business principals, combining corporate and personal advisory services for comprehensive client representation.
Key Responsibilities:
Negotiate, draft, and review a variety of complex commercial and financing documents.
Lead and support mergers, acquisitions, divestitures, and other corporate transactions, including transaction structuring and due diligence.
Provide legal advice on corporate governance, regulatory compliance, and general business matters.
Partner with internal stakeholders and external advisors to assess legal risks and recommend practical solutions aligned with business strategy.
Apply financial and operational insights to enhance deal structure and client advisory.
Offer estate and succession planning services for corporate clients' principals and business owners.
Maintain awareness of legal developments relevant to corporate and commercial law.
Qualifications:
J.D. from an accredited law school and admission to NY state bar (in good standing).
5-7 years of relevant experience in corporate law, preferably with both law firm
Demonstrated experience with complex commercial contracts, M&A, corporate governance, and transactional due diligence.
Strong business acumen with the ability to provide financial and strategic legal advice.
Excellent communication, negotiation, and interpersonal skills.
Ability to manage multiple matters and stakeholders in a fast-paced environment.
Experience in estate and succession planning is a plus.
