The Role

As Compliance Counsel, you will play an important role in establishing and overseeing the Company's compliance program. You will work closely with a broad range of business teams, including finance, human resources, commercial contracts, and sales operations to help solve legal and regulatory issues to enable the business to scale and grow. You will be part of a global in-house legal staff and can choose to be located at either our Bedford, MA, Houston, TX, or Medina, MN offices. Our work is fast-paced, and your time management skills are essential, but you will enjoy thoughtful collaboration with colleagues who are changing the world.

Your Impact
  • Establish and maintain the Company's compliance program, and all related policies, including those related to ethics compliance, export and trade compliance, anti-bribery, anti-corruption, conflicts of interest, data privacy, cybersecurity, as well as other applicable compliance matters.
  • Develop and oversee company-wide training programs. This includes reviewing and updating training content, coordinating delivery, and confirming full participation.
  • Conduct internal investigations into potential violations of our Code of Business Conduct and Ethics and policies, working with internal and external counsel as needed. Analyze investigation data to identify trends and issues.
  • Review, research, and analyze U.S. and non-U.S. international trade regulations and laws (including ITAR, EAR, OFAC, Customs) and determine their effect on the Company's proposed business transactions. Perform regulatory analysis to determine proper classification of Company products.
  • Collaborate with regional counsels to implement tailored compliance initiatives and training programs based on regional requirements.
  • Assist in drafting and updating compliance-related agreements and provide support to legal and procurement teams on compliance provisions.
  • Conduct regular risk assessments to identify compliance issues and develop strategies to mitigate risks. Monitor and audit the effectiveness of the compliance program.
  • Execute projects in other practice areas as needed such as contract negotiation and litigation matters.
What You'll Need
  • 5+ years' experience in sophisticated and international legal environment(s); Software technology company experience preferred.
  • J.D. from an accredited law school.
  • Member in good standing of a state bar association.
