Candidate Profile:
JD from a top-tier law school with a strong academic record(link removed)>
Active Bar Admission in the relevant jurisdiction(link removed)>
23 years of substantive experience handling capital markets transactions at an AmLaw firm(link removed)>
Strong command of SEC rules and the mechanics of public securities offerings, including equity and debt(link removed)>
Experience working with technology and/or life sciences clients is a plus(link removed)>
Excellent writing, communication, and project management skills.
Highly motivated with a client-focused, entrepreneurial mindset and a collaborative working style.
Key Responsibilities:
Advise issuers, underwriters, and investors on public and private offerings of equity and debt securities.
Support clients throughout IPO processes and follow-on offerings.
Draft and review offering documents, registration statements, and related SEC filings.
Counsel clients on ongoing public company reporting obligations and corporate governance matters.
Manage deal execution, due diligence, and communications with regulators.
Collaborate with colleagues across corporate, regulatory, and litigation teams to provide holistic support.
