You will serve as the Associate General Counsel performing as the primary legal counsel and advisor on all matters related to corporate, transactional, and compliance issues, initiatives, and projects.Leads team of lawyers, paralegals, and administrative support personnel tasked with providing timely, accurate, and actionable legal advice to company stakeholders across the Aerospace corporate enterprise. Manages the company's corporate, transactional, and compliance legal program and oversees the day-to-day provisioning of legal advice related to these areas.Advises senior leaders and corporate stakeholders, to include the Executive Team and Board of Trustees, on the legal aspects of strategic plans and programs. Provides legal counsel and representation for the corporation to protect its rights, assets, and operations and to conduct its government and commercial business activities in compliance with applicable U.S. and international law and policy.In coordination with other legal office personnel, offers advice in connection with:federal fiscal law, ITAR/Export Control restrictions, security, facilities, Congressional authorizations and appropriation, federal agency policies and procedures, state law and policy, executive orders, California corporate law, tax law, leasing, FAR/DFAR regulations, data management (US and foreign), and other arrangements between the company, government and industry partners both foreign and domestic. Serves as a liaison with Department of Defense, Intelligence Community, and other federal agencies.At all times, offers legal advice that aligns with the requirements set forth in the Sponsoring Agreement, to include the need for objectivity. Other duties as assigned by the General Counsel or Deputy General Counsel.This position is a direct report to the Deputy General Counsel. Work Model This position will be a full-time position 100% onsite based in one of our main campus locations: El Segundo CA, Chantilly VA, Crystal City DC, or Colorado Springs CO. What You'll Be Doing Provides legal counsel to the senior leadership regarding corporate, transactional, and compliance matters.
Prepares and reviews corporate agreements, contracts, leases, reports, and other legal documents. Researches and analyzes case and statutory law on relevant issues; identifies legal issues that may impact company activities; provides counsel on specific inquiries relating to new business, corporate activities, and on government regulations, policies, and the permissible activities of nonprofit organizations and Federally Funded Research and Development Centers; conducts fact-finding investigations as needed.
Directs and assists outside counsel on corporate matters related to the Aerospace Corporation. Participates in the development of corporate policies, practices, and procedures, and provides continuing counsel and guidance on legal implications.
Support the management of the corporate compliance matters, to include: ethics, non-disclosure, post government employment, and generative artificial intelligence.
Prioritizes professional development, to include emerging legal developments in the legal areas described herein.
Conducts conflict of interest reviews of employee outside business activities and financial interests, new corporate business.
Advises on organizational conflict of interest issues and matters relating to engagements with third parties. Develops and implements risk mitigation plans as necessary.
Exhibits the values-centered leadership qualities and anticipates on various corporate committees. What You Need to be Successful Minimum Requirements 10 plus years of federal government fiscal, acquisition, contracts, and transactional experience, with preference given to candidates who understands cost plus accounting, data privacy, DoD, NASA, the national security sector, and other civilian agencies in the space industrial base.
Juris Doctorate degree from an accredited law school
License to practice law in any jurisdiction within the U.S., with California, Colorado, Virginia, or DC preferred. Membership in good standing of at least one U.S. Bar.

This position requires the ability to obtain and maintain a Secret level clearance, which is issued by the US government. U.S citizenship is required to obtain a security clearance. How You Can Stand Out It would be impressive if you have one or more of these: Preference will be given to candidates with experience in DoD, NASA, the national security sector, and other civilian agencies in the space industrial base.
Experience with or knowledge of federal cost-plus accounting standards, acquisition planning, contracting, fiscal law, legislative process, PPBE cycle, emerging technologies, federal ethics, non-profit 501(c)(3) corporate and tax matters, FFRDCs, space law, and DoD/IC missions and structures is a plus.
