Associate General Counsel - Real Estate Transactions

We are a privately owned residential land development company looking to expand our legal department with an in-house Associate General Counsel. This position reports directly to the General Counsel and will focus on real estate transactions, both raw land acquisitions and lot sale contracts to homebuilders. However, there will be opportunities to expand as needed into other areas of residential land development. As an enterprise, WBW Companies are capable of performing every development-related process in-house. This business structure creates a wide variety of legal needs, and applicants for this position will need to be comfortable with covering a wide range of issues that are not apt to be solved with a cookie-cutter solution.


Candidates are expected to be proficient in the following tasks:


Real estate acquisitions:

  • Title commitment review and objections
  • Creating transaction documents (deeds, post-closing agreements, closing instructions, etc.)
  • Review and issue-spotting of non-standard service agreements with utility providers

Real estate sales:

  • Contract management and review
  • Emphasis on creating comparison documents
  • Identifying issues within complex contracts with publicly traded national homebuilders
  • Communication with purchasers, both written and verbal

Development/Entitlements:

  • Drafting easements for water, wastewater, drainage, and other utilities
  • Analysis of the comment and review process of platting within applicable state and local laws (Local Gov't Code 212 and 232)
  • Familiarity with municipal utility districts is a plus
  • Manage transaction timelines within Microsoft Outlook
  • Experience with CRM software (Zoho) is a plus.

The chosen attorney will play an active, hands-on role within the Legal Department at the forefront of sophisticated real estate deals, proactively leading, negotiating, structuring, and closing complex real estate transactions. Their work will be instrumental in driving growth and expansion efforts and may lead to greater involvement in other legal areas as the company and department grows.
