Associate Attorney - Finance (Borrower-Side Private Equity)

Candidate Profile:
JD from a top-tier law school with a strong academic record(link removed)>
Active Bar Admission in the relevant jurisdiction(link removed)>
1+ years of substantive experience in borrower-side private credit, acquisition finance, or leveraged finance(link removed)>
Experience representing private equity sponsors in acquisition financings is strongly preferred(link removed)>
Demonstrated ability to draft and negotiate credit agreements and related documents.
Strong understanding of commercial lending structures and market trends(link removed)>
Excellent communication, analytical, and organizational skills.

Key Responsibilities:
Represent private equity sponsors and their portfolio companies in a wide range of borrower-side financing transactions, including leveraged buyouts, recapitalizations, and refinancings.
Draft and negotiate credit agreements, commitment papers, intercreditor agreements, and other loan documentation.
Coordinate deal execution and liaise with opposing counsel, lenders, and internal deal teams.
Provide strategic advice to clients regarding deal structure, terms, and risk management.
Collaborate with colleagues across M&A, tax, and regulatory teams to deliver comprehensive client service.
