Candidate Profile:
JD from a top-tier law school with a strong academic record(link removed)>
Active Bar Admission in the relevant jurisdiction(link removed)>
3+ years of substantive experience in private equity fund formation(link removed)>
Deep understanding of private investment fund structuring, fundraising, and operations(link removed)>
Experience advising on sponsor internal arrangements, regulatory compliance, and investor negotiations(link removed)>
Ability to manage complex projects and client relationships with a proactive, solution-oriented mindset.
Excellent drafting, communication, and analytical skills.
Key Responsibilities:
Counsel private fund sponsors on all aspects of fund formation, including structuring, documentation, and investor negotiations.
Advise on operational, governance, and compliance matters related to private investment funds.
Draft and negotiate fund documents, side letters, and related agreements.
Assist clients in navigating SEC regulations and other regulatory frameworks impacting private funds.
Collaborate with attorneys across disciplines to deliver integrated and strategic legal solutions.
Maintain and develop strong client relationships with a high level of responsiveness and professionalism.
