About the Role

Central Texas Recruiting is seeking an Associate Attorney to join our clients Corporate Transactions Practice Area in San Francisco. This role focuses on Mergers & Acquisitions and Private Equity, requiring strong transactional experience, analytical skills, and a commitment to excellence.

Key Responsibilities

Corporate Transactions & M&A

Handle M&A and Private Equity transactions from inception to closing
Draft, review, and negotiate transactional agreements and corporate documents
Provide strategic counsel on deal structures, regulatory considerations, and risk management

Client Advisory & Collaboration

Work closely with clients, investment teams, and cross-functional legal teams to execute deals
Conduct due diligence, financial analysis, and risk assessments
Stay up-to-date on market trends, legal developments, and best practices in corporate law

Regulatory & Compliance

Ensure compliance with SEC, corporate governance, and regulatory requirements
Support internal and external audits, reporting, and legal filings

Qualifications & Requirements

Education & Certifications

Juris Doctor (JD) degree from a top-tier law school
Active admission to the California Bar (Required)

Experience & Skills

3 5 years of experience in Corporate M&A and Private Equity transactions
Strong analytical, drafting, and negotiation skills
Proven ability to manage multiple complex transactions in a fast-paced environment
