If you are an energetic deal maker that enjoys leading M&A transactions in a collegial, fast-paced environment, this is the position for you. As Senior Director, Corporate Development you will be responsible for enabling Clarivate success through leading and supporting our global M&A activities, including select portfolio divestitures and investments. You will lead the evaluation, analysis, negotiation, due diligence, and closure of small / mid-size transactions and provide support for larger transactions. This important role will provide real, hands-on exposure to significant deal activity.

About You - experience, education, skills, and accomplishments

  • Undergraduate business / finance degree with a strong background in corporate finance; or equivalent, relevant work experience
  • 10 years of related work experience in the following:
    • Investment banking, private equity, corporate development.
    • People management leading transactions and teams through the deal process (initiation through close), including due diligence, legal documentation, and negotiation.

It would be great if you also have

  • MBA or other advance degree
  • Familiarity with Thomson Reuters Eikon
  • Knowledge of the data and analytics / software industry
  • Proficiency with financial concepts and valuation methodologies.
  • Strong understanding of financial statements, valuation modeling, transaction structuring.
  • Ability to identify issues, propose solutions, and reach resolution.
  • Ability to manage complex projects and timelines.
  • Ability to work effectively in a global matrixed organization.

What will you be doing in this role?

  • Lead the entire transaction process from initial target evaluation through deal close.
  • Oversee target company financial forecasting and direct the related valuation modeling, including the use of discounted cash flow, IRR, NPV, accretion/dilution, and comparable company / transaction metrics.
  • Lead the due diligence process across business and shared services teams and advisors.
  • Lead negotiations and document preparation in coordination with internal / external legal counsel.
  • Lead preparation of management and board presentations.

About the Team

The Corporate Development team consists currently of a Senior Vice President and Manager that are responsible for leading global transactions of various sizes across our three business segments. We work in collaboration with our shared services teams and outside financial and legal advisors. Over the last several years, we have completed 13 acquisitions (deploying over $13B in capital) as well as 4 divestitures.

Hours of Work

This is a full-time position, primarily working core business hours in your time zone, with flexibility to adjust to various global time zones as needed. This is a hybrid position that can be performed from any Clarivate office in the US.
