Job Details

We are seeking a talented and experienced Mid-Level to Senior Associate to join our dynamic Corporate team in Miami. The successful candidate will have a proven track record in M&A/Investment Funds/Debt Finance and will play a crucial role in providing legal expertise to our clients.

Responsibilities:

Transactional Support:
  • Lead and manage due diligence processes for M&A transactions, investment funds, or debt finance deals.
  • Draft, review, and negotiate transactional documents, including agreements, contracts, and financing documents.
  • Conduct legal research and provide analysis on relevant legal issues.

Client Interaction:
  • Build and maintain strong relationships with clients, providing strategic legal advice.
  • Communicate effectively with clients and internal teams to ensure a smooth and efficient legal process.

Team Collaboration:
  • Collaborate with partners, senior attorneys, and other team members to achieve project goals.
  • Mentor and provide guidance to junior associates and legal support staff.

Legal Analysis:
  • Analyze and assess the legal and business implications of various corporate transactions.
  • Stay informed about changes in laws and regulations relevant to M&A, investment funds, and debt finance.

Risk Management:
  • Identify potential risks and propose risk mitigation strategies to ensure the success of transactions.
  • Work closely with clients to understand their business objectives and provide solutions aligned with their goals.

Qualifications:
  • Juris Doctor (JD) from an accredited law school.
  • 4-7+ years of experience in corporate law, with a focus on M&A/Investment Funds/Debt Finance
  • Strong understanding of the local and federal laws related to corporate transactions.
  • Excellent written and verbal communication skills.
