Salary: $145,000 - $225,000 per year

Job Details

A well-established and highly regarded boutique corporate law firm headquartered in Raleigh, NC, is seeking a Corporate Associate with 5-8 years' experience to join its dynamic team.

They are looking for someone who has significant firm experience of at least 5+ years in transactional corporate practice. They are looking for someone who can hop in and help their M&A practice and financing practices-and who has experience helping lead (or play second chair) in those transactions. Must have significant transactional (M&A and venture financing) experience.

The Associates engage in hands-on drafting, negotiating and day-to-day client communication on a daily basis.
Ideal candidates will possess stellar academic credentials and a demonstrated interest in the startup ecosystem or working with growth companies, venture capital law, technology, etc.
Some areas of experience that are a (huge) plus for this position are:

• corporate transactions, including mergers and acquisitions;
• experience with transactional due diligence;
• fundraising and financings including venture financings and convertible securities;
• day-to-day corporate experience including counseling clients, drafting consents, and reviewing contracts; and
• capitalization tables, Carta, and waterfalls/pro formas.

A North Carolina bar license is highly preferred.
