Job Details

Client Billable Hours: Meet a minimum of 1,700 client billable hours annually (approximately 142 hours per month).

Corporate Governance: Handle tasks such as entity formation, preparing stock certificates, and drafting documents for amendments, withdrawals, mergers, conversions, and dissolutions of various business entities.

Document Preparation and Filing: Draft and file annual reports, resolutions, articles of incorporation, by-laws, certificates of formation, and operating agreements. File EIN applications with the IRS, and prepare UCC financing statements and releases.

Minute Book Maintenance: Prepare minutes and maintain corporate minute books.

Transactional Support: Assist with corporate transactions including due diligence, UCC/lien searches, closings of acquisitions, mergers, and reorganizations, and preparing closing sets.

Legalizations: Obtain apostilles and other legalizations for corporate records and documents.

Task Management: Prioritize and organize tasks, ensuring completion within deadlines.

Time Reporting: Maintain accurate and up-to-date time reports for precise client billing.

Knowledge, Skills, and Abilities

Educational Background and Experience: Bachelor's degree and at least five years of related experience as a corporate paralegal, preferably in a law firm environment, or an equivalent combination of education and experience. A paralegal certificate from an ABA-accredited program is a plus. Private Equity/M&A experience is strongly preferred.

Technical Proficiency: Proficient in Westlaw, corporate-related databases, Internet research, Excel, Outlook, MS Word, and DocuSign.

Specialized Knowledge: Familiar with corporate financing transactions, M&A, private equity, and new venture formation, with extensive experience in at least one area.

Organizational Skills: Excellent in record keeping, data collection, and system information management. Capable of compiling and analyzing data and presenting information in various formats.
