Job Details:
We seek a dynamic, highly skilled Corporate Finance Attorney to join our esteemed legal team. This position offers the opportunity to work on complex and significant matters in the corporate finance sector. The successful candidate will provide legal advice and support on various corporate finance issues, including mergers & acquisitions, U.S. securities laws, compliance, disclosure obligations, financing & venture capital, private equity law, and corporate governance litigation. This role requires a minimum of 2+ years of experience in the legal field, focusing on corporate law and finance law.

Responsibilities:
As a Corporate Finance Attorney, you will be expected to:

1. Provide expert legal advice on various corporate finance matters.
2. Draft, review, and negotiate complex legal documents related to mergers and acquisitions, securities, private equity, and venture capital.
3. Ensure compliance with U.S. securities laws, regulations, and disclosure obligations.
4. Represent the company in corporate governance litigation matters.
5. Work closely with the management team to develop and implement strategic legal initiatives.
6. Maintain up-to-date knowledge of changes in corporate and finance law.
7. Develop and maintain strong relationships with clients and other stakeholders.
8. Collaborate with other attorneys and professionals to provide comprehensive legal services.

Qualifications:
To be considered for this role, you must possess the following:

1. Juris Doctor (JD) degree from an accredited law school.
2. At least 3+ years of experience as a Corporate Finance Attorney or in a similar role.
3. Extensive corporate, business, and finance law knowledge.
4. Proven experience in mergers & acquisitions, U.S. securities laws, compliance, and disclosure obligations.
5. Experience in financing & venture capital, private equity law, and corporate governance litigation.
6. Excellent negotiation, research, and communication skills.
7. Ability to manage multiple projects and meet deadlines.
8. Strong analytical and problem-solving skills.
9. Membership in good standing with a State Bar Association.
