Our esteemed law firm is seeking a seasoned Corporate Associate to join our dynamic team. This role offers an exciting opportunity to be part of a high-performing team that handles complex legal matters in the corporate sector. The ideal candidate will have a solid background in corporate transactional law, with a particular emphasis on Securities, SEC Rules and Regulations, Mergers & Acquisitions, Legal Research, Corporate Law, Due Diligence, and Business Planning. This position requires a minimum of 4-7 years of relevant experience.

Responsibilities:

1. Provide expert legal advice and guidance to corporate clients on a range of issues including corporate governance, securities, SEC rules and regulations, and mergers and acquisitions.
2. Conduct thorough due diligence investigations to identify potential legal and business risks.
3. Prepare and review various legal documents such as contracts, agreements, and corporate resolutions.
4. Develop and implement strategic business plans in line with the firm's objectives and client needs.
5. Represent the firm and its clients in negotiations, meetings, and other engagements with third parties.
6. Stay updated with the latest developments in corporate law and regulations to ensure compliance and mitigate legal risks.
7. Collaborate with the firm's legal team to provide comprehensive legal solutions to clients.

Qualifications:

1. Juris Doctor (JD) degree from an accredited law school.
2. Minimum of 4-7 years of experience in corporate transactional law.
3. Proven experience as a Corporate Associate with a strong focus on securities, SEC rules and regulations, and mergers and acquisitions.
4. Exceptional legal research skills with the ability to analyze complex legal issues and provide clear, practical advice.
5. Proficient in conducting thorough due diligence investigations.
6. Strong business acumen with experience in strategic business planning.
7. Excellent negotiation and communication skills.
8. Ability to work effectively in a fast-paced, high-pressure environment.
9. Must be a member in good standing with a state Bar.
10. High ethical standards and professional integrity.
