In terms of public company matters, prepare and review current reports and periodic reports, proxy statement section 13 and 16 filings, review public company policies and committee charters. In connection with venture financing and general corporate matters, review term sheet, draft and negotiate financing documents, perform due diligence review, reconcile companys capitalization records, build capitalization tables and counsel clients on legal issues involved in company capitalization, including option grants and current and future equity matters, coordinate with paralegals to assist clients with stock and option administration. Draft board and shareholder actions and annual meeting documents, SAFEs and ancillary documents in venture financings, conduct voting threshold analysis, manage closing process. May telecommute within commuting distance. Employer will accept a Juris Doctor (J.D.) degree from an ABA-approved law school, and 6 months of experience in the job offered, or in a lawyer-related occupation.
