Overview

The Assistant General Counsel will beprimarily responsible for managing commercial contracts (and developing and implementing a robust contracting process) for multiple business units.This position will also assist with the administration and implementation of our ESG program (minimizing the need for external program support) and provide M&A support (focused primarily on due diligence and minimizing the use of external resources).Other likely responsibilities include assisting in the administration of our FCPA compliance program, channel partner vetting, supporting our intellectual property management program, and backup support for our securities compliance program.This position reports directly to, and works closely with, the General Counsel and will be a business partner who will collaborate effectively across the Company. This hybrid opportunity will be based in Greater Boston, MA.

Responsibilities

Commercial contracts support for current Business Units and any future acquisitions. In some cases, this support may work with or be backup for existing resources.

Administration and implementation of our ESG program in 2024 and future years to minimize the use of external resources in maintaining the program.

M&A support (performing due diligence and, as necessary, integration planning and coordination).

Assistance in administration of FCPA compliance program.

Backup support for other practice areas including IP and securities.

  • Developing practical solutions and communicating same to the business, including senior management.
  • Enhancing the effectiveness of the Legal Department through participation in staff meetings, training, and positive interaction with corporate and business clients. Success will be measured, in part, by the degree to which this candidate is able to integrate with and become a part of the various BU's.
  • Developing a keen understanding of the Company's business strategy and its business system.
  • Assuming responsibilities for special projects that may be assigned from time-to-time.These projects may include implementing (i) company-wide contract management solution software, and (ii) software to automate the legal invoicing, approval and budget for external legal spend.

Role Requirements

  • JD from an accredited law school and licensed to practice in Massachusetts (or willing to obtain an in-house limited license).
  • Minimum of 10 - 15 years of experience as an attorney with experience working in-house in an industrial technology or manufacturing company.
  • Demonstrated ability to be a pro-active team player and partner effectively with clients in a collaborative environment to achieve stated business objectives while minimizing risks.
  • Self-starter with a sense of urgency, ability to prioritize, handles unanticipated situations effectively and works well under pressure in a demanding multi-client environment.
  • Excellent written and oral communication skills, including the ability to convert complex legal concepts into useful business guidance and the ability to engage personnel across all levels of the Company.
  • Ability to develop a trusting rapport with leaders in the BU's, particular our sales professionals.
  • Commitment to the highest standards of ethical conduct.
  • Highly motivated and positive attitude.
  • Ability to handle confidential and sensitive legal matters.
  • Ability to analyze a situation, identify issues, propose practical solutions and drive and implement those solutions.
  • Occasional domestic and international travel may be required (less than 20%).
